These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you" or "User") and SEWPOINT ("we," "us," or "our"), governing your access to and use of the SEWPOINT web application, API Integration we may offer now or in the future, and all related services (collectively, the "Service").

By accessing or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not use the Service.

SEWPOINT is an AI-powered editing assistant for Google Slides. The Service enables users to submit natural-language instructions to modify, reformat, and style presentations, and to create reusable style templates. The Service is accessed through a web dashboard and, where offered, API Integration that lets your organization trigger the same agentic slide-editing workflows programmatically through our Native API, using API keys issued in your SEWPOINT account. Google Workspace connectivity relies on the Google API with your OAuth consent where applicable.

You must be at least 16 years old (or the applicable age of digital consent in your jurisdiction) to use the Service. By registering, you represent that:

• All information you provide is accurate, current, and complete
• You will maintain the accuracy of your registration information
• You have the legal capacity to enter into binding agreements
• You are not barred from receiving services under applicable law

You are responsible for maintaining the security of your Google account and for all activities that occur under your SEWPOINT account. You must notify us immediately at admin@sewpoint.app if you suspect unauthorized access to your account.

The Service accesses your Google Workspace files through the Google API with your explicit OAuth consent. By connecting your Google account, you acknowledge that:

• You grant SEWPOINT permission to read and modify only the Google Workspace files you explicitly specify in SEWPOINT, under the drive.file OAuth scope
• You may revoke this access at any time via your Google Account permissions
• Our use of Google API data complies with the Google API Services User Data Policy, including the Limited Use requirements
• Your use of Google APIs through the Service is also subject to Google's API Terms of Service. You agree not to use the Service in any way that violates those terms or applicable API documentation
• SEWPOINT is not affiliated with, endorsed by, or sponsored by Google
• We are not responsible for changes to the Google API, Google's terms, or service interruptions on Google's part

You agree not to use the Service to:

• Violate any applicable local, national, or international law or regulation
• Process content that is illegal, harmful, defamatory, or that infringes on third-party intellectual property rights
• Attempt to gain unauthorized access to the Service, other users' accounts, or our systems
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service
• Circumvent rate limits, usage quotas, credit systems, or other technical restrictions
• Use automated tools, bots, or scrapers to access the Service except through our Native API (as part of API Integration, when offered)
• Transmit any malware, viruses, or other malicious code
• Transfer, resell, or attempt to cash out credits or account balances
• Resell, sublicense, or redistribute the Service or access to it without our express written permission

All code, designs, trademarks, service marks, logos, and other materials comprising the Service are owned by or licensed to SEWPOINT and are protected by applicable intellectual property laws. Your use of the Service does not grant you any ownership rights in the Service itself.

Your content: You retain ownership of your Google-hosted presentations and any structured templates you knowingly save inside the Product. Raster logos replicate only pursuant to Privacy Policy §2.4. By using SEWPOINT, you grant SEWPOINT a limited, non-exclusive, royalty-free sublicense to encrypt, replicate, route to required service providers, troubleshoot, meter usage, and comply with lawful process—strictly to operate the workflows you initiate.

This sublicense does not grant SEWPOINT or any of its service providers the right to: (a) train, develop, or improve generalized or foundational AI/ML models on your content or on any data received from Google APIs; (b) use your content for advertising, retargeting, personalized advertising, or user profiling; (c) sell or commercially redistribute your content; or (d) read your Google Workspace data in human-readable form except as expressly permitted in Privacy Policy §4. Our handling of Google API data is governed by the Limited Use commitments in our Privacy Policy.

Public beta pricing. The Service currently uses a credit-based billing model:

• Welcome grant: Eligible users receive welcome credits after successfully connecting Google Workspace with a Google account that has not previously received a welcome grant on SEWPOINT. Each Google account can receive welcome credits only once. The grant amount is defined in our billing configuration (currently 200 credits; limited-time welcome offer) and may change during the public beta period.
• Exchange rate: 1 USD = 100 credits. Top-up rates are displayed in the billing interface at the time of purchase.
• Top-up packages: Fixed packages only, as shown in Dashboard → Credits at checkout (currently 1,000 / 2,000 / 5,000 / 10,000 credits for USD $10 / $20 / $50 / $100, exclusive of tax). We do not accept custom amounts.
• Nature of credits: Credits are a limited, prepaid right to use the Service. They are not money, electronic money, stored value, or legal tender; have no cash value; are non-transferable and non-redeemable except as described in Section 16; and may be used only for SEWPOINT consumption (AI slide editing and related features). Credits do not create any fiduciary or custodial relationship.
• Prices and tax: Package prices shown in the billing interface are exclusive of applicable sales tax. Applicable tax, if any, is calculated at checkout based on your billing address and added to the amount charged by our payment service provider (Stripe). Your receipt and tax breakdown are provided through our payment service provider (Stripe).
• Credit delivery: After successful payment, credits are added to your account after payment confirmation (typically within minutes). Our records and your Dashboard balance are authoritative.
• Paid credits expiration: Paid credits do not currently expire; we will give at least 14 days' notice before any change to expiration rules.
• Usage gate: New task runs require a non-negative balance; topping up restores access.
• Charge calculation: For each completed task, we charge credits equal to CEIL(provider cost in USD × markup multiplier × exchange rate). The markup multiplier covers our service and operational costs.
• Negative balance policy: A single task run may bring your balance below zero. Subsequent task runs are blocked until your balance is back at zero or above.
• Refunds: Paid credit top-ups are subject to Section 16 (Refund Policy). Welcome grant and other free credits have no cash value.
• Price changes: AI provider costs and our markup multiplier may change. We will provide at least 14 days' notice of material price changes affecting your use of the Service.
• Payment processing: Top-up purchases are processed by our payment service provider, Stripe, Inc. and its affiliates ("Stripe"). SEWPOINT does not store your full card number. SEWPOINT provides the Service; Stripe processes payment. When you complete checkout, Stripe's applicable Services Agreement and Privacy Policy may apply to your payment.

The Service uses third-party AI models to interpret your instructions and modify your presentations. You acknowledge that:

• AI-generated modifications may contain errors, inaccuracies, or unexpected results
• You are solely responsible for reviewing and accepting any changes made to your presentations before use
• We do not guarantee that AI outputs will meet specific quality, accuracy, or fitness-for-purpose standards
• The Service is a productivity tool designed to assist your workflow, not a substitute for professional judgment
• We are not liable for decisions made based on AI-generated content

We aim to maintain high availability but do not guarantee uninterrupted or error-free operation. We may:

• Modify, suspend, or discontinue any feature or part of the Service, with reasonable notice where practicable
• Perform scheduled maintenance that may temporarily affect availability
• Update functionality, interfaces, or AI models at our discretion

We will make reasonable efforts to notify users of material changes that affect their use of the Service.

You may terminate your account and delete all associated data at any time through Dashboard → Account (self-service). Deletion is immediate and irreversible.

We may suspend or terminate your access immediately and without prior notice if you materially breach these Terms, engage in abusive or fraudulent behavior, or if required for payment integrity (including chargebacks or payment disputes).

Upon termination (by you or by us):

• Your right to access the Service ceases immediately
• Fully unused paid top-ups are handled under Section 16 (Refund Policy) where you remain eligible; otherwise, credits (including used paid credits, welcome grant credits, and promotional credits) are forfeited without cash refund, except where required by law
• When you delete your account, we remove your account data in accordance with our Privacy Policy without undue delay
• Provisions that by their nature survive termination remain in effect, including Sections 6, 7, 11, 12, and 16

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory
• We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, profits, or goodwill
• Our total cumulative liability to you for any and all claims arising from the Service shall not exceed the greater of (a) USD $100 or (b) the cumulative fees legitimately invoiced—and paid—to SEWPOINT during the twelve (12) months preceding the claim

Nothing in these Terms limits our liability for: death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law (including EU/UK consumer law).

You agree to indemnify, defend, and hold harmless SEWPOINT, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law; or (c) your infringement of any third-party rights.

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-law provisions.

Any dispute arising from or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation for a period of 30 days. If negotiation fails, disputes shall be resolved through binding arbitration in Sheridan, Wyoming, or in the state or federal courts of Wyoming, at our election.

EU/UK residents: Nothing in this clause affects your rights under applicable mandatory consumer protection laws in your country of residence, including the right to bring proceedings before your local courts.

We may update these Terms from time to time. The revised "Last updated" date at the top reflects the most recent version. We will provide notice of material changes via email or in-app notification at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service before the effective date.

Severability: If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary, and all remaining provisions continue in full force.

Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SEWPOINT regarding the Service and supersede any prior agreements.

Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to any successor entity.

You may apply for a refund only as described in this Section.

16.1 Pay-as-you-go (credit top-ups). If you purchase credits through our pay-as-you-go checkout, you may request a refund within twenty-four (24) hours of the purchase only for a fully unused paid top-up from that purchase ("Unused Paid Credits"). A paid top-up is fully unused only if none of the paid credits from that purchase have been used. Welcome grant credits, promotional credits, and any other free credits are excluded from refund calculations, have no cash value, and are not refundable. No refund is available for any purchase made more than twenty-four (24) hours ago, or if any paid credits from that purchase have been used.

Where you have requested immediate delivery of digital credits (including via the UK/EU consent at checkout), statutory withdrawal rights may not apply to the extent permitted by law once performance has begun with your consent, as described in Section 16.8.

16.2 Unused Paid Credits. For each paid top-up, Unused Paid Credits means the full package of paid credits from that purchase when all of those paid credits remain unused. If any paid credits from that purchase have been used, Unused Paid Credits for that purchase are zero and that purchase is not refundable. We do not offer partial refunds for partly used paid top-ups.

16.3 Refund amount, fee, and tax. Refunds are calculated on the pre-tax package price of a fully unused paid top-up only (not on free credits). A non-refundable platform and payment processing fee of 3% + $0.30 USD applies to that pre-tax amount and is deducted before we process the refund.

• Pre-tax refund = pre-tax package price − (3% + $0.30)
• Sales tax refund (if charged): If sales tax was collected at checkout, we refund tax proportionally to the pre-tax amount returned—not the full tax if a fee applies. Tax refund = sales tax charged × (pre-tax refund ÷ pre-tax package price), rounded to the nearest cent.
• Total refund to your card = pre-tax refund + proportional sales tax refund.

Example: for a $10.00 pre-tax package with $0.80 sales tax ($10.80 paid), the fee is $0.60, the pre-tax refund is $9.40, the proportional tax refund is $0.75, and the total refund to your card is $10.15.

Where mandatory consumer law requires a full refund (including where you validly exercise a statutory right of withdrawal and have not effectively waived immediate delivery), we do not deduct the 3% + $0.30 fee.

16.4 Cancellation. We do not currently offer recurring subscriptions. No cancellation is required for one-time credit top-ups.

16.5 How to apply. Use Dashboard → Credits → Refund in the Service to request a refund for a listed paid top-up that is fully unused and still within the refund window. You may also email admin@sewpoint.app if you need assistance or cannot access the dashboard.

16.6 Processing. When you confirm a refund in the dashboard, the paid credits from that fully unused top-up are removed immediately and we initiate the refund through our payment service provider (Stripe). Refunds are sent to your original payment method in the original payment currency. Funds usually arrive within 3 to 10 banking business days after initiation.

16.7 Disputes with your bank. If you have a billing concern, please contact us at admin@sewpoint.app before disputing a charge with your bank or card issuer. We will review your request promptly and, where you remain eligible under this Section, help resolve refund matters through Dashboard → Credits → Refund or by email. Unauthorized or mistaken chargebacks may delay resolution and, where permitted by law and our agreement with our payment service provider (Stripe), we may seek recovery of fees and costs we incur from the payment provider.

16.8 Statutory rights. Nothing in this Section limits mandatory consumer rights in your country of residence. Where law gives you a right to withdraw or refund within fourteen (14) days (or longer), that right applies to the extent required by law and cannot be waived where waiver is not permitted. This Section does not reduce any longer period mandated by applicable law.

16.9 Payment service provider. Top-up payments and refunds are processed by our payment service provider, Stripe, Inc. and its affiliates ("Stripe"). SEWPOINT provides the Service and initiates refunds; we do not store your full card number. Stripe's Privacy Policy describes how Stripe processes payment data. Stripe's applicable Services Agreement may also apply to your payment.
